This document is intended to provide a non-binding overview of a potential transaction structure for physical gold bullion (Aurum AU). It is designed to outline the general framework, involved parties, and the indicative process of a possible transaction for interested counterparties.

All information contained herein is indicative only and subject to availability, successful due diligence, regulatory requirements, and the execution of definitive agreements between the relevant parties. This document does not constitute an offer or a commitment.

TRANSACTION PROCEDURE

(Seller’s Position)

1. The Buyer shall issue a formal Letter of Intent (LOI) including full corporate details and authorized signatory information.

2. Upon review and acceptance of the LOI, the Seller shall issue a Full Corporate Offer (FCO).

3. The Buyer shall confirm acceptance of the FCO by signing and returning it or by issuing an Irrevocable Corporate Purchase Order (ICPO) including full banking coordinates.

4. The Seller shall issue the draft Sales and Purchase Agreement (SPA) together with the proposed Documentary Letter of Credit (DLC – MT700) wording for Buyer’s review.

5. Upon mutual agreement on the SPA and DLC wording, the Buyer shall sign and return the SPA, thereby rendering the agreement effective.

6. Within five (5) banking days following acceptance of the DLC wording and confirmation of the pre-advice or draft SWIFT copy, the Buyer shall instruct its bank to issue a 100% Irrevocable, Non-Transferable, Operative and Confirmed Documentary Letter of Credit (DLC – MT700) in favor of the Seller, covering the full value of the trial shipment.

The DLC shall:

o Be transmitted via authenticated SWIFT MT700 to the Seller’s nominated bank;

o Be subject to UCP 600 rules;

o Provide sufficient validity to cover shipment, assay, and payment timelines as stipulated in the SPA.

7. Upon authenticated confirmation of the operative DLC by the Seller’s bank, the Seller shall issue a Performance Bond equal to two percent (2%) of the DLC value in favor of the Buyer, issued by a reputable bank acceptable to the Buyer.

8. The Seller shall dispatch the trial shipment within ten (10) working days following confirmation of the operative DLC and issuance of the Performance Bond.

9. Upon arrival at the designated destination airport, the Buyer shall ensure prompt customs clearance and secure transport to the appointed refinery or assayer.

10. The Buyer shall appoint an internationally recognized and accredited refinery or assaying company at its own expense to verify quantity and purity.

11. The independent assay report confirming quality and quantity shall be deemed final and binding upon both Parties.

12. Within twenty-four (24) banking hours following issuance of a satisfactory final assay report, the Buyer shall effect full payment via MT103 to the Seller’s nominated bank account.

13. In the event that the Buyer fails to effect payment within the stipulated timeframe, the Seller shall be entitled to draw under the operative DLC in accordance with its terms and UCP 600 provisions.

14. Title to the Product shall transfer to the Buyer upon confirmed receipt of full payment by the Seller’s bank.15. All agreed intermediary commissions shall be honored by the Seller in accordance with the signed IMFPA upon successful completion of each delivery.

16. Upon successful completion of the trial shipment, subsequent monthly shipments shall proceed under identical terms for the agreed twelve (12) month contractual period, each supported by a corresponding operative DLC and Performance Bond as defined herein.

The DLC (MT 70o) Is a subject to be confirmed by Standard Chartered Bank Singapore and at any point non negotiable clause.

2. SELLER SEND SPA ALONG WITH HIS CLIENT INFORMATION SHEET (KYC/CIS),

COMPANY REGISTRATION CERTIFICATE, BUSINESS LICENSE AND PASSPORT.

BUYER MUST AGREE THE TERMS AND SIGN THE SPA

3. VERBIAGE

SELLER AND BUYER THROUGH THEIR BANK AGREE ON BANK GUARANTEE

4. SELLER SEND PROOF OF PRODUCTS

1) SELLER COMMITMENT TO SUPPLY GOLD TO BUYER COMPANY NOTORIZED IN

FEDERAL HIGH COURT BY A NOTARY

2) PAST PERFORMANCE

3) CERTIFICATES OF OWNERSHIP

4) ASSAY ANALYSIS REPORT / PURITY CERTIFICATES OF GOLD

5) SELLER GOLD LICENSES, MINING LICENSE, ETC

6) PROOF OF LIFE; VIDEOS OF GOLD WITH BUYER NAME & CURRENT DATE

7) SKR: Safe Keeping Receipt The official document from a security warehouse

approved by the Government, confirming Ican Mining, Mr.Moses hold valuable assets

(Gold doré bars) for the Buyer.

5. NOT LATER THAN 5 WORKING DAYS LATER, BUYER BANK ISSUE AGREED TO

COVER TOTAL VALUE OF GOLD REQUESTED BY BUYER.

46. 2% PB GIVEN FOR BUYER ISSUING BANK INTRUMENT SWIFT. WITHIN 5 DAYS

AFTER SELLER BANK VERIFICATION AND CONFIRMATION OF REALITY OF SWIFT,

SELLER BANK WILL ISSUE 2%PB IN FAVOUR OF BUYER.

7. DEADLINE CLAUSE: IF BUYER FAILS TO ISSUES BANK GUARANTEE WITHIN 5-7

WORKING DAYS AFTER BUYER RECEIVE SELLER POP, BUYER SHALL DEDUCT THIS

2% AMOUNT FROM TOTAL FUNDS TO BE PAID TO SELLER AFTER FINAL ASSAY ANY

FURTHER DELAY OF BUYER NOT PAYING DEFAULT FEES AND BUYER NOT ALSO

ISSUING AGREED BANK GUARANTEE AT 10 WORKING DAYS SELLER LAWYERS WILL

SERVE PERMANENT COURT INJUNCTIONS LETTER OBTAIN FROM HIS COUNTRY

HIGH COURT SERVICE TO PAY TOTAL PENALTY OF 10% OF TOTAL VALUE OF

9. DEADLINE CLAUSE: THIS SHALL BE REGARDED AS A BREACH OF CONTRACT.

WITHIN 20-25 WORKING DAYS IF SELLER DOES NOT DELIVER GOLD TO THE BUYER

INTERNATIONAL AIRPORT SELLER SHALL PAY TO BUYER 2% IN CASH AMOUNTS AS

DEFAULT FEE TO COVER BANK CHARGES, ANY FURTHER DELAY OF SELLER NOT

PAYING DEFAULT FEES AND SELLER NOT ALSO DELIVERING GOLD AT 30 WORKING

DAYS BUYERS LAWYERS ARE FREE TO CONTACT SELLER LAWYERS WITH DETAILS ON

KYC/CIS OR SELLER LAWYERS WILL BE SERVE PERMANENT COURT INJUNCTIONS

LETTER OBTAIN FROM UAE HIGH COURT SERVICE / COUNTRY OF ORIGIN OF SELLER

TO PAY TOTAL PENALTY OF 12% IN CASH AMOUNT INCLUDING PERFORMANCE

GROUND AT THE INTERNATIONAL AIRPORT TO RECEIVE AND CLEAR GOLD AT

INTERNATIONAL AIRPORT or REFINERY.

PACKING LIST, UNIT PRICE, TOTAL AMOUNT, AND GROSS/NET WEIGHTS OF

THE GOODS.

PACKING LIST: ONE (1) ORIGINAL AND THREE (3) COPIES ISSUED DECLARING

GROSS AND NET WEIGHT, NUMBER OF UNITS, AND

THE NUMBER OF THE AIRWAY BILL.

AIRWAY BILL: ONE (1) ORIGINAL AND THREE (3) COPIES ISSUED.

DECLARATION: THAT THE GOODS IS FREE AND CLEAR OF ENCUMBRANCE

AND OF Non-CRIMINAL ORIGIN AND SOURCE.

12. ALL DELIVERY DOCUMENTS SHALL BEAR THE PRINCIPAL BUYER AS THE

CO- CONSIGNEE, SELLER WILL OBTAIN ALL NECESSARY EXPORT DOCUMENTS,

SEND/GIVE COPIES TO BUYER AS WELL AS THE ESTIMATED TIME OF DEPARTURE

AND THE ESTIMATED TIME OF ARRIVAL IN BUYER DESTINATION INTERNATIONAL

AIRPORT

13. UPON ARRIVAL IN BUYERS’ DESTINATION INTERNATIONAL AIRPORT,

BUYER CLEARS THE SHIPMENT THROUGH CUSTOMS AND COMPLETES DELIVERY

TO BUYER’S DESIGNATED REFINERY. THE FINAL COMMERCIAL INVOICE BASED ON

THE FINAL ASSAY REPORT SUBMITTED BY THE DESIGNATED REFINERY.

14. UPON A SUCCESSFUL DELIVERY OF TRIAL SELLER HAD CONFIRM

RECEIPT OF PAYMENT FOR TRIAL AND BUYER CONFIRM OWNERSHIP OF GOLD

WITHIN 72HRS AFTER BOTH CONFIRMATION FROM BUYER AND SELLER,

15. SELLER AND BUYER SHALL PHYSICALLY IN BUYER OFFICE FINALISE

AGREEMENT FOR FURTHER MONTHLY DELIVERY AMOUNTS FOR CERTAIN

PERIOD AND TERMS & CONDITIONS AT BUYER DECRETION

616. SELLER RETURN TO SECURITY COMPANY IN AFRICA WHERE GOLD IS

STORED FOR SAFE KEEPING TO PREPARE SHIPMENT FOR THE NEXT DELIVERY
